Terms of Service

This document currently applies only to the Sisyphus Labs waitlist service. Terms for our AI products and other services will be updated upon their release.

1. Introduction & Acceptance

Welcome to Sisyphus Labs. These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications (collectively, the "Service") provided by Strokecompany Co., Ltd., doing business as Sisyphus Labs ("Company," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service following any updates to these Terms constitutes acceptance of those changes.

2. Eligibility

By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

Sisyphus Labs is an AI product studio that develops tools and services to enhance software development workflows. Our current offering includes a waitlist for early access to our products. The Service may include:

  • Waitlist registration and management
  • AI-powered development tools and services
  • Communication about product updates and releases
  • Community features and referral programs

Waitlist registration does not guarantee any perks, benefits, or priority access. Policies regarding waitlist benefits may change at any time without prior notice.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

4. User Responsibilities

When using our Service, you agree to:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Use the Service only for lawful purposes
  • Not attempt to circumvent any security measures or access restrictions
  • Not use the Service to transmit malicious code or conduct harmful activities
  • Not impersonate others or misrepresent your affiliation with any entity
  • Comply with all applicable laws and regulations

You are solely responsible for all activities that occur under your account.

5. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent, except as necessary for your personal, non-commercial use of the Service.

Certain components of the Service may integrate, reference, or depend on open-source or source-available software and third-party services ("Third-Party Materials"). Third-Party Materials are licensed to you under their respective license terms, not these Terms. In the event of any conflict, the applicable Third-Party Materials license terms will control for that software. We may provide an open source notices page or attribution list for Third-Party Materials used in the Service.

We may obtain licenses or other permissions from the applicable rights holders to use certain Third-Party Materials in connection with the Service. Such permissions, if any, apply only to our operation of the Service and do not grant you any additional rights beyond what is expressly permitted under the applicable Third-Party Materials licenses.

We may provide links to, or enable access to, third-party deployments, front-ends, integrations, or websites. Those third parties operate independently from us, and we do not control and are not responsible for their availability, operation, content, or policies. Your use of any third-party service is at your own risk and subject to the third party's terms.

Nothing in these Terms grants you any rights to use, reproduce, modify, distribute, or commercialize Third-Party Materials beyond what is expressly permitted under the applicable licenses.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We make no guarantees regarding waitlist position, access timing, or the availability of any specific features or functionality.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising from or relating to these Terms or your use of the Service shall not exceed the amount you paid us, if any, in the twelve (12) months prior to the claim.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at hello@sisyphuslabs.ai. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Seoul, Republic of Korea.

If you are a consumer residing in a jurisdiction that provides mandatory consumer protection laws, nothing in these Terms affects your rights under those laws.

10. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes indicates your acceptance of the new Terms.
